Omney Terms of Service

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Service is currently intended for users in the United States. We make no representation that the Service is appropriate or available outside the United States.

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

2. What Omney does

Omney is a personal finance software service designed to help you understand and optimize your credit cards. Depending on the features available to you, Omney may:

• Analyze transaction data from connected financial accounts
• Provide suggestions regarding how you might use your existing cards, including identifying potentially missed rewards and underused benefits
• Compare annual fees against estimated card value, and provide information about upcoming card fee renewals
• Recommend credit cards based on your spending history, current cards, and the information available to Omney
• Provide other financial insights, comparisons, alerts, and recommendations

Omney is a software product. Omney does not issue credit cards, make lending decisions, approve applications, determine credit limits, set interest rates, or control the terms of financial products offered by third parties.

3. Not financial advice

The Service is provided for informational and educational purposes only. Nothing in the Service constitutes financial, investment, credit, legal, tax, accounting, or other professional advice. Nothing in the Service creates a fiduciary, advisory, or professional relationship between you and Omney.

Any recommendation, suggestion, comparison, alert, estimate, or other output from Omney is intended to help you make your own decisions. You remain solely responsible for deciding whether to apply for, keep, use, close, or otherwise change any financial product or account. You should consider your own financial circumstances and, where appropriate, consult a qualified professional before making financial decisions.

4. Estimates and accuracy

Many calculations and recommendations provided by Omney are estimates, such as the:

• Dollar value of points, miles, cash back, and card benefits
• Value of rewards and benefits you earned and could have earned
• Value of a card relative to its annual fee
• Potential value of opening another credit card

These estimates depend on the information available to Omney and on assumptions that may not reflect your actual circumstances. Reward currencies can have different redemption values, and your actual redemption value may be higher or lower than Omney's estimate. Merchant categorization may also differ from the categorization used by a card issuer. Card rewards, benefits, fees, welcome offers, eligibility requirements, and other terms may change at any time.

Omney may use automated systems, machine learning, or artificial intelligence to categorize transactions, generate insights, summarize information, or provide recommendations. Omney does not guarantee that any estimate, categorization, reward calculation, benefit valuation, recommendation, alert, or other output is accurate, complete, current, or applicable to your particular account. You should verify important information directly with the applicable issuer before relying on it.

5. Connecting financial accounts

Omney allows you to connect eligible financial accounts through Plaid, a third-party financial data integrator. When you connect an account, you represent and warrant that:

1. You own the account or are authorized to access and manage the account
2. You have the right to authorize Omney and its service providers to access the account data
3. The information you provide to Omney is accurate
4. Your use of the account and the Service does not violate the terms or policies of your financial institution

Omney is currently designed for individual personal wallets. Business accounts and household wallet management (i.e., the management of another person's independent financial accounts) are not currently supported. If you want another person to use Omney to manage or optimize their own wallet, that person should create and maintain their own Omney account.

Omney does not receive or store your financial institution login credentials through the Plaid connection process. Financial account connections are read-only. Omney does not use your connected financial accounts to move money, make payments, or otherwise initiate transactions at your financial institution.

6. Third-party connections and services

Financial account connections may depend on third-party providers, including Plaid, and on your financial institution(s). You understand and agree that:

• Omney does not control your financial institution
• Financial institutions may change their systems, authentication requirements, or policies
• Third-party providers may experience outages, errors, delays, or limitations
• Account connections may stop working or require reauthorization
• Omney cannot guarantee uninterrupted access to account data
• Your use of third-party connection services may be subject to the third party's own terms and privacy policies

The Service may contain links to websites or services operated by third parties, including credit card issuers, banks, and other financial-service providers. Omney does not control those third parties. If you apply for or purchase a product or service from a third party, the transaction is between you and that third party. The third party makes its own eligibility and approval decisions, and determines the applicable price, terms, and policy.

7. Your Omney account

You are responsible for maintaining the confidentiality of your Omney account credentials and for all activity conducted through your account. You agree to maintain current contact information, keep your credentials secure, promptly notify us if you believe your account has been compromised, and not share your Omney account with another person.

Omney subscriptions and accounts are intended for individual users and may not be transferred, resold, or shared.

8. Omney Plus and paid services

Certain features of the Service may require a paid subscription, including Omney Plus. Current prices, billing periods, included features, trial periods, and other subscription terms are displayed on the Omney Pricing page and at checkout. Those terms are incorporated into these Terms.

Unless otherwise stated at checkout, subscription prices are in U.S. dollars, and applicable taxes may be added. Payment is processed through a third-party payment processor, and you authorize Omney and its payment processor to charge your selected payment method for applicable amounts.

Omney may change subscription pricing or features in accordance with applicable law. Subscriptions automatically renew if the applicable plan provides for automatic renewal. If a price change affects an existing recurring subscription, we will provide notice before the new price applies.

Omney may occasionally offer free trials, discounts, credits, or other special offers. Unless otherwise stated, promotional offers may be limited to one per account, and may not be combined. Offers may have additional conditions disclosed at signup, and Omney may discontinue or modify promotional offers where permitted by law. If a free trial converts into a paid subscription, the applicable conversion date, price, and cancellation terms will be disclosed before or at signup.

9. Credit card recommendations

Omney may recommend credit cards based on information such as your spending patterns, existing cards, preferences, card terms, rewards structures, benefits, and other available information. A recommendation is not a pre-approval or guarantee of approval. Credit-card issuers independently determine whether to approve applications and determine applicable terms, including credit limits, interest rates, fees, and eligibility.

A recommendation is not a guarantee that a card will provide a particular amount of rewards, and does not represent financial or credit advice. Applying for a credit card may result in a hard credit inquiry and may affect your credit score. You are responsible for reviewing the issuer's current terms before applying.

Omney may receive compensation when users apply for credit cards through links provided by Omney or its partners. Where required by law, Omney will disclose applicable referral or affiliate relationships. Compensation may be received from a card issuer, affiliate network, financial institution, or other partner. Unless expressly disclosed otherwise, affiliate compensation does not mean that Omney guarantees approval or that the issuer will provide any particular terms. Omney may change the cards, products, or partners for which it receives compensation.

10. Benefits, rewards, and offers

Omney may display information about credit card benefits, rewards, offers, credits, and other programs. These programs are established and controlled by the applicable issuer or other third party.

Omney does not guarantee that a benefit is available to you, that you are eligible for an offer, or that any particular transaction will qualify for a benefit. You remain responsible for understanding and complying with the terms applicable to your cards.

11. Alerts and notifications

Omney may provide alerts relating to annual fee renewals, unused benefits, potentially missed rewards, upcoming payments, welcome offer progress, or other information. Alerts are provided as a convenience and may be delayed, incomplete, or inaccurate.

You should not rely solely on an Omney alert to avoid a fee, satisfy a card requirement, make a payment, or meet a promotional deadline. You remain responsible for monitoring your accounts and complying with all applicable deadlines.

12. Service availability and changes

We may modify, add, suspend, or discontinue features of the Service at any time. We do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free. Features may depend on third-party services, financial institutions, card issuers, data providers, payment processors, hosting providers, or other services outside our control. We may perform maintenance or temporarily suspend portions of the Service when necessary.

13. Acceptable use

You agree not to:

• Use the Service unlawfully
• Provide false or misleading information
• Impersonate another person, or connect an account you do not own or are not authorized to access
• Share or transfer your account except as expressly permitted
• Circumvent subscription limits, access controls, or usage restrictions
• Resell, sublicense, or commercially redistribute the Service or its outputs without authorization
• Scrape, crawl, or use automated means to collect substantial portions of the Service;
• Reverse engineer, decompile, or attempt to obtain the source code of the Service except where not enforced by the law
• Interfere with the operation or security of the Service, or introduce malicious code or attempt to gain unauthorized access
• Use the Service to build or improve a competing product using Omney's proprietary data, catalog, methodology, or outputs
• Violate the terms or policies of a financial institution or third-party service in connection with your use of Omney

14. Intellectual property

The Service and its content, including software, design, interfaces, text, trademarks, logos, databases, card catalogs, reward methodologies, valuation methodologies, and other proprietary materials, are owned by Omney or its licensors. Credit card issuer names, trademarks, logos, and other third-party marks belong to their respective owners and are used for identification purposes.

Subject to these Terms, Omney grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works from, sell, or commercially exploit Omney's proprietary materials without our prior written permission.

15. Your data and feedback

You retain rights on information and content you provide to Omney. You grant Omney the limited rights necessary to host, process, analyze, transmit, and display that information in order to provide the Service and as otherwise described in our Privacy Policy. Our collection and use of personal information is governed by our Privacy Policy.

If you provide suggestions, feedback, ideas, or other comments about Omney, you grant us the right to use and incorporate that feedback without compensation or obligation to you.

16. Cancellation and refunds

You may cancel a recurring Omney subscription through the cancellation process in your account. Cancellation prevents future renewal but does not necessarily provide a refund for the current paid subscription period. You will generally retain access to paid features through the end of the applicable paid period unless otherwise stated.

Except where required by law or expressly stated in an applicable guarantee or promotional offer, subscription payments are non-refundable and we do not provide refunds or credits for partially used subscription periods.

If Omney offers a specific savings, value, or money back guarantee, the eligibility requirements and procedures for that guarantee will be disclosed separately and will form part of these Terms. Any such guarantee is a limited program and is not a general promise that Omney will save you a particular amount of money or generate a particular amount of rewards.

17. Suspension and termination

We may suspend or terminate your account or access to the Service if:

• You violate these Terms, or engage in fraud or abuse
• Your use creates security, legal, or operational risk
• We are required to do so by law
• We discontinue the applicable Service

Where reasonably practicable, we will provide notice before termination. Upon termination, your license to use the Service ends. Treatment and deletion of your data following termination is governed by our Privacy Policy.

18. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, INFORMATION, ESTIMATES, RECOMMENDATIONS, ALERTS, CALCULATIONS, AND OUTPUTS PROVIDED THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE."

OMNEY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS
• THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• CONNECTED FINANCIAL DATA WILL ALWAYS BE AVAILABLE OR CURRENT
• TRANSACTION CATEGORIZATION WILL BE ACCURATE
• REWARD OR BENEFIT CALCULATIONS WILL BE COMPLETE OR CORRECT
• CARD INFORMATION WILL ALWAYS REFLECT CURRENT ISSUER TERMS
• RECOMMENDATIONS WILL RESULT IN SAVINGS OR REWARDS
• YOU WILL BE APPROVED FOR ANY FINANCIAL PRODUCT
• ANY PARTICULAR FINANCIAL OUTCOME WILL RESULT FROM YOUR USE OF THE SERVICE

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REWARDS, POINTS, MILES, DATA, SAVINGS, BUSINESS OPPORTUNITY, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, LOSSES ARISING FROM INACCURATE OR DELAYED TRANSACTION DATA, MISCLASSIFIED TRANSACTIONS, MISSED REWARDS; INCORRECT BENEFIT INFORMATION, MISSED OR INCORRECT ALERTS, CARD ISSUER CHANGES, FAILED ACCOUNT CONNECTIONS, THIRD-PARTY SERVICE OUTAGES, CREDIT CARD APPLICATION DECISIONS, CHANGES IN CREDIT SCORES, ANNUAL FEES OR OTHER CARD FEES, AND RELIANCE ON OMNEY'S ESTIMATES OR RECOMMENDATIONS.

20. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Omney and its officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your violation of these Terms or a third party's rights or terms
• Your misuse of the Service
• Your violation of applicable law
• Information you provide that is false or misleading
• Your unauthorized connection of another person's financial information

21. Dispute resolution

To the extent permitted by applicable law, the parties agree to first attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Service by contacting Omney at support@omney.me

New York state law will govern these Terms, without regard to its conflict-of-laws principles, except to the extent federal law or mandatory consumer-protection law provides otherwise. Any dispute that is not subject to arbitration will be handled in the courts having appropriate jurisdiction over the dispute and the parties, subject to applicable law.

22. Electronic communications

By creating an Omney account or using the Service, you consent to receive communications from Omney electronically, including by email, in-app notification, or through the Service. Electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

You may manage certain non-essential communications through your account settings, subject to applicable legal and transactional requirements.

23. Privacy

Your use of the Service is also governed by the Omney Privacy Policy, which describes how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding the collection or use of personal information, the Privacy Policy will control for those matters.

24. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by applicable law, which may include email, in-app notice, or requiring you to accept the updated Terms when you next use the Service. The updated Terms will identify their effective date.

Your continued use of the Service after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law. We may maintain records of the version of the Terms you accepted and when you accepted them.

25. General

These Terms, together with the Privacy Policy and any applicable plan, pricing, or promotional terms presented at checkout, constitute the entire agreement between you and Omney regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce any provision does not constitute a waiver of that provision.

You may not assign or transfer your rights under these Terms without our prior written consent. Omney may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of substantially all of its assets.

Neither party's failure to perform an obligation caused by circumstances beyond its reasonable control will constitute a breach of these Terms. Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between you and Omney.
